1. Agreement to Terms

By accessing our website or engaging our game development services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions, as well as our Privacy Policy and any other policies referenced herein.

These terms create a binding legal agreement between you (either as an individual or on behalf of an entity) and Pixel Core. If you do not agree with all of these terms, you must not access or use our services.

We reserve the right to modify these Terms and Conditions at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services after changes are posted constitutes your acceptance of the modified terms.

2. User Obligations and Conduct

As a user of our services, you agree to comply with all applicable laws, regulations, and these Terms and Conditions. Specifically, you agree to:

Attempting to gain unauthorized access to any portion of our systems or networks

Using our services to transmit malicious code, viruses, or harmful materials

Impersonating any person or entity or misrepresenting your affiliation

Violating any applicable laws or regulations in your use of our services

Copying, reproducing, or distributing our proprietary materials without authorization

3. Scope of Services

Pixel Core provides custom arcade game development services, including but not limited to platform fighter development, analytics systems, and mini-game collections. The specific scope, deliverables, timelines, and fees for each project are defined in individual project agreements or proposals.

Project Agreements

All projects require a formal agreement that outlines the specific terms, including project scope, milestones, deliverables, payment terms, and intellectual property arrangements. These project-specific agreements supplement and take precedence over these general Terms and Conditions in cases of conflict.

Changes to project scope must be agreed upon in writing by both parties and may result in adjustments to timelines and fees.

Service Limitations

While we strive to deliver high-quality results, we cannot guarantee specific commercial outcomes or market performance for developed games. Success depends on numerous factors beyond our control, including market conditions, marketing efforts, and ongoing maintenance.

4. Liability and Warranties

4.1 Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. To the fullest extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that our services will be uninterrupted, error-free, or completely secure. We make no guarantees regarding the commercial success or market performance of developed games.

4.2 Limitation of Liability

To the maximum extent permitted by applicable law, Pixel Core and its officers, directors, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, revenue, or business opportunities

• Loss of data or corruption of data

• Cost of procurement of substitute services

• Loss of goodwill or reputation

• Any other intangible losses

4.3 Liability Cap

Our aggregate liability for any and all claims arising from or related to these Terms and Conditions or your use of our services shall not exceed the total amount paid by you to Pixel Core for services during the six months immediately preceding the event giving rise to the claim.

4.4 Exceptions

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such cases, our liability will be limited to the maximum extent permitted by applicable law. Nothing in these terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded or limited by law.

5. Intellectual Property Rights

5.1 Ownership of Materials

All content, materials, and intellectual property on our website and in our services, including but not limited to text, graphics, logos, code, and methodologies, are owned by or licensed to Pixel Core and are protected by copyright, trademark, and other intellectual property laws.

You may not use, reproduce, modify, distribute, or create derivative works from our materials without our express written permission.

5.2 Project Deliverables

Ownership and licensing of intellectual property in project deliverables are specified in individual project agreements. Typically, upon full payment, clients receive appropriate rights to use the work created specifically for their project.

Pixel Core retains ownership of its proprietary tools, frameworks, methodologies, and any pre-existing materials or components incorporated into project deliverables.

5.3 Client Materials

You retain ownership of any materials, content, or intellectual property you provide to us for use in your project. By providing such materials, you grant us a license to use them solely for the purpose of delivering the agreed services.

5.4 Third-Party Materials

If third-party materials, libraries, or tools are incorporated into project deliverables, they remain subject to their original licenses. We will inform you of any such third-party components and their licensing terms.

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our business relationship. Confidential information includes, but is not limited to, business plans, technical data, trade secrets, and financial information.

This confidentiality obligation does not apply to information that:

Is or becomes publicly available through no breach of these terms

Was rightfully possessed by the receiving party before disclosure

Is independently developed by the receiving party

Must be disclosed pursuant to legal requirements

The confidentiality obligations survive termination of these Terms and Conditions for a period of three years.

7. Indemnification

You agree to indemnify, defend, and hold harmless Pixel Core, its affiliates, officers, directors, employees, contractors, and agents from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to:

Your use of our services or violation of these Terms and Conditions

Your violation of any rights of third parties, including intellectual property rights

Any materials or content you provide to us for use in your project

Your breach of any representation, warranty, or obligation under these terms

This indemnification obligation survives termination of these Terms and Conditions.

8. Force Majeure

Neither party shall be liable for any failure or delay in performance under these Terms and Conditions due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, government actions, or failures of internet service providers or hosting facilities.

If a force majeure event continues for more than 30 days, either party may terminate the affected project agreement upon written notice. In such cases, you will be responsible for payment for work completed up to the termination date.

9. Dispute Resolution and Governing Law

9.1 Negotiation

In the event of any dispute arising from or relating to these Terms and Conditions, the parties agree to first attempt to resolve the matter through good faith negotiation. Either party may initiate negotiations by providing written notice to the other party describing the dispute.

9.2 Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods shall not apply.

9.3 Jurisdiction

Any legal action or proceeding arising from or related to these Terms and Conditions shall be brought exclusively in the courts of England and Wales. Both parties consent to the personal jurisdiction of these courts and waive any objection to venue in these courts.

9.4 Costs

The prevailing party in any legal action related to these Terms and Conditions may be entitled to recover reasonable legal fees and costs from the other party, as determined by the court.

10. General Provisions

10.1 Entire Agreement

These Terms and Conditions, together with our Privacy Policy and any project-specific agreements, constitute the entire agreement between you and Pixel Core regarding your use of our services and supersede all prior or contemporaneous communications, agreements, and understandings.

10.2 Severability

If any provision of these Terms and Conditions is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

10.3 Waiver

No waiver of any term or condition of these Terms and Conditions shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these terms shall not constitute a waiver of such right or provision.

10.4 Assignment

You may not assign or transfer these Terms and Conditions or any rights or obligations hereunder without our prior written consent. We may freely assign these terms without restriction. Any attempted assignment in violation of this provision is void.

10.5 Relationship of Parties

These Terms and Conditions do not create any agency, partnership, joint venture, or employment relationship between you and Pixel Core. Neither party has authority to bind the other or incur obligations on the other's behalf.

10.6 Notices

All notices required or permitted under these Terms and Conditions must be in writing and shall be deemed given when delivered personally, sent by confirmed email, or three days after being sent by registered mail to the addresses provided by the parties.

10.7 Survival

Provisions of these Terms and Conditions that by their nature should survive termination shall survive, including but not limited to intellectual property rights, confidentiality obligations, indemnification, limitation of liability, and dispute resolution provisions.
